According to the Complaint, the Company made false and misleading
statements to the market. Heron failed to include important information
in its New Drug Application (“NDA”) to the FDA for HTX-011. The material

decreased the likelihood of the FDA approving Heron’s HTX-011. Based on
these facts, the Company’s public statements were false and materially
